Terms of Service

eLawCareers, together with all associated websites, applications, services, functionality, content, communications, tools and other services made available through or in connection with eLawCareers, is operated by Top Venture Ltd, a company incorporated in England and Wales under company number 13640243, whose registered office is at 128 City Road, London, United Kingdom, EC1V 2NX (“Top Venture Ltd”, “eLawCareers”, “we”, “us” or “our”). These Terms of Service (“Terms”) govern your access to and use of eLawCareers and all services made available through it (collectively, the “Services”).

Please read these Terms carefully before accessing or using the Services. By accessing, browsing, registering with, submitting information to, or otherwise using any part of the Services, you acknowledge that you have read, understood and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you access or use the Services on behalf of an employer, recruiter, staffing agency, law firm, company, partnership, organisation or other legal entity, you represent and warrant that you have full authority to bind that entity to these Terms. In that case, the terms “you” and “your” shall refer both to you individually and to the entity on whose behalf you are acting, and that entity shall be responsible for your use of the Services and for ensuring that all of its personnel, representatives, contractors and other authorised users comply with these Terms.

These Terms constitute a legally binding agreement between you and eLawCareers. Certain Services may also be subject to additional terms, conditions, subscription agreements, order forms, commercial agreements, privacy notices or other policies. Where additional terms apply to a particular Service, those terms shall apply in addition to these Terms and, in the event of a conflict, shall prevail to the extent of the conflict in relation to that Service.

1. Definitions

For the purposes of these Terms, in addition to any terms defined elsewhere in these Terms:

  • “Applicant” / “Job Seeker” means any individual who creates a profile, browses listings, or submits an application through eLawCareers;
  • “Employer” / “Recruiter” means any person or entity that posts, manages or promotes job listings on eLawCareers;
  • “Content” means any information, text, data, listings, application materials, images or other material submitted to, posted on, or transmitted through eLawCareers, including Your Content (as defined in Section 9);
  • “Account” means a registered user profile on eLawCareers;
  • “User” means any Job Seeker, Employer, Recruiter or other person who accesses or uses the Services;
  • “Services” has the meaning given in Section 1.

2. Changes to These Terms and the Services

We reserve the right, at our discretion, to modify, amend, replace or update these Terms from time to time and to modify, suspend, restrict, discontinue or otherwise change any aspect of the Services, including their content, functionality, availability, features, technical requirements and pricing. We may make such changes for operational, commercial, technical, security, legal or regulatory reasons.

Where required by applicable law, we will provide reasonable notice of material changes to these Terms. Such notice may be provided by posting revised Terms on the website, displaying a notice through the Services, sending an email to the email address associated with your account or by another legally permissible means. The updated Terms will take effect on the date specified in the notice or, where no date is specified, when posted or otherwise made available. Your continued use of the Services after the effective date of any revised Terms constitutes your acceptance of those revised Terms to the extent permitted by applicable law.

You should review these Terms periodically. If you do not agree to a revised version of these Terms, you must cease using the Services and, where applicable, close your account.

3. Eligibility

You must be at least 18 years old to register for an account or use the Services for recruitment, employment or commercial purposes unless we expressly permit otherwise and applicable law allows such use. By using the Services, you represent and warrant that you are legally capable of entering into a binding agreement and that all information you provide to us is accurate, complete and current.

We may refuse registration or restrict access to the Services where we reasonably consider that doing so is necessary to comply with applicable law, protect the Services or their users, prevent fraud or abuse, protect our legitimate business interests or enforce these Terms.

4. Nature of the Services

eLawCareers is an online employment and recruitment platform which provides technology and infrastructure through which job seekers may discover employment opportunities and submit applications and through which employers, recruiters and other organisations may advertise vacancies and identify or communicate with potential candidates.

Unless we expressly agree otherwise in writing, eLawCareers is a platform provider only. We do not act as an employer, employment agency, employment business, recruitment agency, staffing agency, headhunter, broker, representative, legal adviser or agent of any user merely by providing the Services. Nothing in these Terms shall be construed as constituting eLawCareers an “employment agency” or “employment business” for the purposes of the Employment Agencies Act 1973 or the Conduct of Employment Agencies and Employment Businesses Regulations 2003, except to the extent that applicable law expressly provides otherwise.

We are not a party to any employment relationship, consultancy relationship, contractor relationship, recruitment agreement, engagement or other arrangement that may arise between users of the Services. Any such relationship is solely between the relevant parties.

We do not guarantee that any particular job seeker will obtain employment, that any employer will fill a vacancy, that an application will result in an interview or offer, that an employment offer will be made or honoured, or that any employment relationship will continue after it has commenced.

5. Job Seekers and Applications

If you use eLawCareers as a job seeker, you are solely responsible for the accuracy, completeness and legality of all information and materials that you provide through the Services, including your CV, profile, employment history, qualifications, professional memberships, references, cover letters, photographs, portfolios, answers to application questions and any other information or documentation that you submit.

You must not provide information which you know, or ought reasonably to know, is false, misleading, fraudulent, incomplete or materially inaccurate. You must not falsely claim qualifications, professional experience, employment history, licences, certifications, memberships or other credentials, and you must not impersonate another person.

You are responsible for ensuring that any CV, cover letter, photograph, document, portfolio or other material you submit is your own or that you have all necessary rights and permissions to submit and use it in connection with the Services.

When you submit an application for a vacancy, you acknowledge and agree that the information and materials forming part of your application may be made available to the employer, recruiter or other organisation responsible for that vacancy. Once your application information has been transmitted to or received by such third party, that third party may process your information in accordance with its own privacy notice and applicable law.

You acknowledge that employers and recruiters are responsible for reviewing applications and making their own decisions regarding candidates. We have no responsibility for whether an employer reviews your application, contacts you, interviews you, offers you employment or enters into any other relationship with you.

6. Employers, Recruiters and Job Advertisements

If you use the Services as an employer, recruiter, staffing agency, law firm, company or other organisation, you are solely responsible for the jobs, vacancies, advertisements, company information and other content that you submit or publish through the Services.

You represent and warrant that you have full authority to advertise every position you submit and that every vacancy you advertise is genuine and represents a genuine recruitment requirement or opportunity. You must ensure that all job descriptions, requirements, remuneration information, locations, working arrangements, qualifications and other information contained in your advertisements are accurate and not misleading.

You must promptly amend or remove any vacancy that is no longer available, has been filled, has been withdrawn or is otherwise no longer a genuine opportunity. We may remove or modify job advertisements that we reasonably believe are inaccurate, misleading, outdated, duplicated, fraudulent, unlawful or otherwise inconsistent with these Terms.

You are solely responsible for ensuring that your job advertisements and recruitment practices comply with all applicable laws and regulations, including employment, equality, anti-discrimination, immigration, advertising, consumer protection, data protection, confidentiality and intellectual property laws.

You must not advertise a position in a manner that unlawfully discriminates against any person or group. You must not use the Services to obtain information from candidates for a purpose unrelated to genuine recruitment or to collect personal information through fictitious, misleading or fraudulent vacancies.

Where a position requires professional qualifications, regulatory authorisation, practising rights, security clearance, immigration permission, background checks or any other legal requirement, you are solely responsible for determining and verifying those requirements.

We may, at our discretion and without any obligation to do so, request evidence that a vacancy is genuine or that an advertiser is entitled to recruit for the position advertised, and may suspend or remove a listing pending receipt of satisfactory evidence.

6.1 Your responsibilities as a data controller

Where you process candidate personal data obtained through the Services, for example, when reviewing, storing, or shortlisting applications, you act independently, as a controller or, where applicable, a separate controller, for that processing under applicable data protection law, including the UK GDPR and, where applicable, the EU GDPR. Without limiting Section 22 (Data Protection and Privacy), you agree to:

  • Handle candidate data lawfully, fairly and transparently and in accordance with applicable data protection law;
  • Use candidate data only for the purpose of evaluating applications for the relevant vacancy, and not for any other marketing, profiling, or commercial purpose without the candidate's separate, informed consent;
  • Not sell, rent, or share candidate data with any third party without the candidate's consent, save where required by law;
  • Implement appropriate technical and organisational measures to protect candidate data against unauthorised or unlawful processing, loss, destruction or damage;
  • Retain candidate data only for as long as necessary for the recruitment process, and delete or anonymise it thereafter unless the candidate has separately consented to longer retention;
  • Respond promptly, and in any event within any applicable statutory time limit, to data-subject requests received directly from candidates or forwarded to you by us.

7. No Verification of Users or Third-Party Content

Although we may from time to time undertake checks, verification or screening measures in relation to particular users, vacancies, employers, recruiters or content, you acknowledge that we cannot and do not verify every person, organisation, vacancy, CV, qualification, statement, advertisement or other item of information made available through the Services.

Internet-based authentication is inherently imperfect, and we cannot guarantee that users are who they claim to be. You are solely responsible for carrying out whatever checks you consider appropriate before entering into any transaction, employment relationship, interview arrangement, financial arrangement or other relationship with another user.

We do not guarantee the identity, qualifications, integrity, solvency, legitimacy, suitability or conduct of any employer, recruiter, candidate or other user of the Services.

We do not guarantee the quality, safety, legality, accuracy, completeness, authenticity or availability of any job listing, CV, candidate profile, employer profile, advertisement, communication or other third-party content.

You should exercise appropriate caution when dealing with other users. In particular, you should not send money, passwords, banking credentials, authentication codes or other sensitive financial information to a person merely because you encountered them through eLawCareers.

8. User Content

You retain ownership of the content, information and materials that you submit to eLawCareers, including job advertisements, CVs, profiles, photographs, company information, logos, trademarks and application materials (“Your Content”).

By submitting Your Content through the Services, you grant eLawCareers and its service providers a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, format, adapt, display, transmit, distribute and otherwise use Your Content to the extent reasonably necessary to operate, provide, maintain, secure, develop, improve and promote the Services and to comply with applicable law.

This licence includes the right to reproduce and display job advertisements, employer names, company information, logos and related materials within the Services and, where appropriate, through distribution, syndication, search, marketing, advertising and other channels through which we make the Services available, and to identify an Employer as a user of the Services in our own marketing and promotional materials (for example, as a customer reference or case study), unless that Employer notifies us in writing that it objects to such use.

You represent and warrant that you have all rights, licences, permissions and consents necessary to submit Your Content and grant the rights described in these Terms and that Your Content does not infringe or unlawfully interfere with any person's intellectual property, privacy, confidentiality, contractual or other rights.

You acknowledge that we may remove, restrict, modify, disable access to or refuse to publish Your Content where we reasonably consider this necessary to comply with law, enforce these Terms, protect users or third parties, prevent fraud or abuse, protect our systems or otherwise operate the Services.

8.1 Aggregated and anonymised data

In addition to the rights described above, we may create, compile, and use aggregated, anonymised, or de-identified data derived from Your Content and from use of the Services (“Insights Data”) for any lawful purpose, including analytics, benchmarking, research, product development, and the creation of market or salary insights, reports, or other commercial products, whether during or after the term of your use of the Services. Insights Data does not identify you or any individual and is not personal data.

9. Communications

The Services may permit users to communicate directly with other users through messaging tools, application systems, email or other functionality.

Communications sent through the Services may be accessible to the intended recipient and, where necessary for the operation, security, moderation, investigation or improvement of the Services, may be processed by us and our service providers in accordance with applicable law and our Privacy Policy.

You should not use messaging functionality to transmit confidential information unless you are satisfied that doing so is appropriate. You remain solely responsible for information that you voluntarily disclose to another user.

We do not guarantee that communications will be delivered, received, read, responded to or retained for any particular period.

10. Acceptable Use and Prohibited Conduct

You agree to use the Services only for lawful and legitimate purposes and in accordance with these Terms.

Without limiting the foregoing, you must not use the Services to post, transmit, distribute or otherwise make available any information or material that is false, misleading, fraudulent, defamatory, threatening, abusive, obscene, unlawful, discriminatory or otherwise harmful; that infringes another person's intellectual property, privacy, confidentiality or other rights; that contains malicious code or other harmful or disruptive components; or that is intended to facilitate fraud, identity theft, phishing, scams or other unlawful activity.

You must not create fictitious employment opportunities, misrepresent an employer, impersonate another person or organisation, falsely claim to be associated with eLawCareers, or otherwise misrepresent your identity or affiliation.

You must not use the Services to collect, harvest, scrape, copy, download, index, reproduce, aggregate, extract or otherwise obtain candidate information, employer information or other Platform data for purposes other than those expressly permitted by the Services or authorised by us in writing.

You must not sell, resell, sublicense, distribute or commercially exploit information obtained through the Services, including candidate information, except where expressly authorised by us.

You must not use robots, spiders, crawlers, scripts, automated search tools, data-mining tools, artificial intelligence agents or other automated mechanisms to access, search, copy, monitor, extract, index or otherwise interact with the Services except where expressly authorised by us or where such restriction is prohibited by applicable law.

You must not attempt to circumvent technical restrictions, access controls, subscription restrictions, security measures, account limitations or other safeguards implemented by us.

You must not interfere with or disrupt the Services, servers, networks or infrastructure supporting the Services, or attempt to gain unauthorised access to any account, computer system, server, network or data.

You must not transmit unsolicited bulk communications, spam, chain letters, pyramid schemes, phishing messages, investment solicitations or other unsolicited commercial communications through the Services.

You must not use information obtained through eLawCareers to contact candidates or employers for unrelated purposes, including unsolicited marketing, unless you have an independent lawful basis and are otherwise permitted to do so.

You must not copy, reproduce, modify, translate, adapt, reverse engineer, decompile, disassemble or create derivative works from the Services or any portion of them except to the extent that applicable law expressly permits such activity and that right cannot legally be excluded.

You acknowledge that a breach of this Section 11 may cause us harm for which damages alone would not be an adequate remedy, and that, in addition to any other right or remedy available to us (including suspension or termination under Section 31 and indemnification under Section 27), we may seek injunctive or other equitable relief to prevent or restrain any actual or threatened breach of this Section 11, without the need to post a bond or prove special damage.

11. Account Registration and Security

Certain features of the Services may require you to register for an account. When registering, you agree to provide accurate, current and complete information and to maintain and update that information so that it remains accurate, current and complete.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity conducted through your account, except to the extent that such activity results from our failure to comply with applicable legal obligations.

You must not share your password or account credentials with another person unless expressly authorised by us. Employer and recruiter accounts may be subject to additional restrictions concerning the number of users, offices or individuals permitted to access the Services.

You must notify us promptly at info@elawcareers.com if you believe that your account has been compromised or accessed without authorisation.

We reserve the right to require a password reset, additional authentication or other security measures where we reasonably believe that an account may have been compromised.

12. Content Moderation and Enforcement

We have no general obligation to monitor all content submitted to or made available through the Services, except to the extent that applicable law imposes such an obligation.

Nevertheless, we reserve the right, but do not undertake an obligation, to monitor, review, investigate, classify, restrict, refuse to publish, remove or disable access to any content or account where we reasonably consider that this is necessary or appropriate for the operation of the Services, the protection of users, the prevention of fraud or abuse, the protection of our systems or rights, compliance with law or enforcement of these Terms.

We may use human review, automated systems, artificial intelligence or machine-learning tools, security systems, fraud detection systems, spam detection systems and other technical or organisational measures in connection with moderation, security and enforcement.

We may suspend, restrict or terminate your access to all or part of the Services where we reasonably believe that you have breached these Terms, acted unlawfully, engaged in fraudulent or abusive conduct, created a security risk, provided materially inaccurate information, attempted to circumvent a previous restriction, or otherwise used the Services in a manner that may cause harm to us, our users or third parties.

Where we remove or restrict Content, or suspend or terminate an Account, and applicable law (including the Digital Services Act) requires us to provide a statement of reasons, that statement will include:

  • The facts and circumstances on which the decision was based;
  • Whether any automated tools were used in reaching the decision;
  • Where applicable, information about how you may challenge the decision.

This statement will be provided at or before the time the restriction takes effect, unless we are prohibited from doing so by applicable law, or unless the Content is manifestly illegal, unlawful, or presents an urgent risk, in which case notice may be provided as soon as reasonably practicable afterwards.

We may retain copies of content and accounts that we remove, restrict or suspend, together with associated logs and metadata, for as long as reasonably necessary for security, fraud prevention, audit, legal, or regulatory purposes, and may disclose such material to law enforcement, regulators, or other competent authorities where required or permitted by applicable law.

13. Reporting Illegal or Inappropriate Content

If you believe that content available through eLawCareers is unlawful, fraudulent, abusive, unsafe or in material breach of these Terms, you may report it to info@elawcareers.com.

Your report should, where possible, include:

  • A sufficiently substantiated explanation of why you believe the content is illegal or in breach of these Terms;
  • A clear indication of the location of the content (for example, the relevant URL, listing title, or account);
  • Your name and contact details, unless you wish to submit the report anonymously and the nature of the content allows this.

We may investigate reports and take whatever action we reasonably consider appropriate, including removing or restricting content, suspending accounts, requesting additional information, referring matters to third parties or competent authorities, or taking no action where we consider that the report is unfounded or insufficient. We will acknowledge receipt of a report without undue delay and assess it diligently, non-arbitrarily and objectively.

Where the Digital Services Act applies to the relevant Services, notices concerning allegedly illegal content and decisions taken in response to such notices will also be handled in accordance with the mandatory procedures applicable under that legislation.

14. Digital Services Act

Where and to the extent that Regulation (EU) 2022/2065, the Digital Services Act (“DSA”), applies to eLawCareers or any particular Service, the applicable provisions of the DSA shall apply in addition to these Terms.

Nothing in these Terms is intended to exclude, restrict or override any mandatory right or obligation arising under the DSA.

Where required by the DSA, we will provide users with appropriate mechanisms for reporting allegedly illegal content, provide statements of reasons for applicable moderation decisions, maintain any required internal complaint-handling mechanism and comply with other applicable transparency, moderation and user-protection requirements.

Our single point of contact for direct communication with Member State authorities, the European Commission, the European Board for Digital Services, and with users, in each case for matters arising under the DSA, is info@elawcareers.com. Communications with us under this Section 15 should be made in English.

Where the Services include any function that ranks, orders, or recommends job listings or other content to users (a “recommender system”), the main parameters used by that function, and their relative importance, are: the recency of the listing; its relevance to the user's search terms, profile, location and stated preferences; and, where applicable, whether the relevant Employer has purchased promotion under Section 18. Where the Services offer one or more options to modify or influence those parameters (such as search filters or sort order), those options will be made available within the relevant part of the Services.

Where applicable, users may have rights under the DSA to challenge certain decisions through an internal complaint-handling mechanism and, in circumstances specified by the DSA, through a certified out-of-court dispute settlement body.

15. Intellectual Property

The Services, including their software, source and object code, databases, design, structure, layout, graphics, interfaces, functionality, text, trademarks, logos, branding and other materials supplied by or on behalf of eLawCareers, are owned by or licensed to eLawCareers and are protected by intellectual property and other applicable laws.

Your use of the Services does not transfer to you any ownership interest in the Services or any intellectual property rights belonging to us or our licensors.

Except as expressly permitted by these Terms or applicable law, you must not reproduce, publish, distribute, modify, adapt, translate, create derivative works from, sell, licence, commercially exploit or otherwise use any portion of the Services without our prior written permission.

The eLawCareers name, branding, logos and associated marks belong to Top Venture Ltd. All other trademarks appearing through the Services belong to their respective owners.

16. Copyright and Intellectual Property Complaints

If you believe that content available through the Services infringes your copyright or other intellectual property rights, you should contact us at info@elawcareers.com and provide sufficient information for us to identify the material and assess your claim.

We may remove or restrict access to allegedly infringing material where we reasonably consider that doing so is appropriate or required by applicable law.

We reserve the right to request additional information reasonably necessary to investigate an intellectual property complaint, and to restore content where we consider, in our reasonable discretion, that a complaint was unfounded, mistaken, or made in bad faith.

17. Promoted Listings, Ranking and Advertising

We may offer employers and recruiters paid services that increase the visibility or prominence of particular job advertisements.

Paid or promoted listings may appear in positions or formats that differ from unpaid listings and may be identified as “Promoted”, “Sponsored”, “Advertisement” or similar terminology where required by applicable law.

Unless otherwise stated, the purchase of a promoted listing does not guarantee a particular number of views, applications, interviews, candidates, clicks, placements, impressions or employment outcomes.

The order in which jobs, employers, candidates or other content appear through search results, recommendations or other parts of the Services may be determined using a variety of factors, including relevance, recency, location, search criteria, user preferences, job characteristics, engagement, technical factors and commercial arrangements.

We do not represent that a higher-ranked job, employer or candidate is better, more suitable or more trustworthy than another.

We may display advertising supplied by third parties and may use third-party advertising platforms, including Google Ads or similar services. Advertisements are separate from ordinary user-generated content and job listings and will be identified as “Ad”, “Sponsored” or similar wording as required by applicable law. For more information about why you are seeing a particular advertisement, you can use that provider's own transparency tools, such as Google's Ad Transparency Centre.

18. Automated Decision-Making, AI and Recommender Features

The Services may incorporate automated or algorithmic functionality, including artificial intelligence or machine-learning tools, to rank, sort, recommend, match, filter, tag, summarise, or otherwise process job listings, candidate profiles, or other content (“Automated Features”).

Automated Features are provided as discovery and productivity tools only. They do not constitute legal, employment, immigration, or professional advice, do not determine or influence any Employer's actual hiring decision, and are not a substitute for a User's own judgement. We do not warrant that any Automated Feature is accurate, complete, unbiased, or free from error, and you should independently verify any output before relying on it.

Employers remain solely responsible for their own recruitment and selection decisions, including any decision informed by an Automated Feature, and for ensuring that such decisions comply with applicable equality and anti-discrimination law. Nothing in this Section 19 relieves an Employer of that responsibility.

19. Fees and Paid Services

Certain Services may be provided without charge and other Services may be subject to fees, subscriptions, credits or other charges.

Where you purchase a paid Service, the applicable price and material commercial terms will be presented to you before the purchase is completed. You agree to pay all charges incurred through your account at the applicable rates and to provide accurate and complete billing information.

Unless otherwise stated, fees are exclusive of applicable taxes, which may be charged where required by law.

Where a Service is provided on a subscription basis, the applicable subscription will renew according to the renewal terms presented at the time of purchase unless cancelled in accordance with those terms. Where a paid Service renews automatically, we will use reasonable efforts to notify you before renewal, but it remains your responsibility to manage your subscription and to cancel it before the renewal date if you do not wish to continue.

Except where otherwise required by law or expressly stated by us, fees paid for Services are non-refundable. Nothing in these Terms limits any statutory consumer right to a refund or other remedy that cannot lawfully be excluded.

Where you are a business user and any amount properly due to us is not paid by its due date, we may, without limiting any other right or remedy: (a) charge interest on the overdue amount at the rate of 4% per annum above the Bank of England base rate from time to time, accruing daily from the due date until paid, whether before or after judgment; (b) suspend or terminate your access to the relevant paid Service, and any other Service, until payment is made in full; and (c) recover our reasonable costs of collection, including reasonable legal fees.

We may set off any amount you owe us under these Terms against any amount we may owe you, without notice, to the extent permitted by applicable law.

We may change our fees for future purchases or renewals on reasonable notice; any such change will not affect an order you have already paid for.

20. Third-Party Services and Links

The Services may contain links to or integrations with websites, applications, products or services operated by third parties.

We do not control third-party websites or services and are not responsible for their content, availability, security, privacy practices, products, services or conduct.

Your use of a third-party service may be subject to separate terms and privacy policies imposed by that third party. You should review those terms before using the relevant service.

The inclusion of a third-party link, advertisement, integration or service does not constitute an endorsement, recommendation or guarantee by eLawCareers.

21. Data Protection and Privacy

Your use of the Services is subject to our Privacy Policy, which explains how personal data is collected, used, disclosed, stored and otherwise processed.

Different parties may have different responsibilities under applicable data protection law. Depending on the circumstances, eLawCareers, an employer, recruiter or other organisation may act as a controller, joint controller, processor or another legally recognised role.

Employers and recruiters are independently responsible for ensuring that their processing of candidate information complies with applicable data protection law, including having an appropriate lawful basis, providing required privacy information, respecting data-subject rights, maintaining appropriate security and complying with applicable retention and deletion requirements, as further described in Section 7.1.

Nothing in these Terms authorises any user to process personal data in a manner prohibited by applicable law.

22. Confidentiality

You acknowledge that communications and information submitted through an internet-based recruitment platform cannot necessarily be treated as confidential.

You should not submit trade secrets, confidential business information or other sensitive information through the Services unless you have a legitimate reason to do so and are satisfied that the disclosure is appropriate.

Nothing in these Terms creates a general obligation on eLawCareers to maintain the confidentiality of information voluntarily submitted through public areas of the Services.

Our obligations regarding personal data are governed by applicable data protection law and our Privacy Policy.

23. No Professional Advice

Nothing made available through eLawCareers constitutes legal, employment, immigration, tax, financial, regulatory or other professional advice.

You are responsible for obtaining independent professional advice where appropriate.

Employers are solely responsible for their employment decisions and compliance with employment law, and candidates are solely responsible for determining whether a particular employment opportunity is appropriate for them.

24. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, INCLUDING ALL CONTENT, INFORMATION, SOFTWARE, FUNCTIONALITY, JOB LISTINGS, EMPLOYER INFORMATION, CANDIDATE INFORMATION, COMMUNICATIONS AND OTHER MATERIALS MADE AVAILABLE THROUGH THE SERVICES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE MAKE NO REPRESENTATION OR WARRANTY THAT THE SERVICES OR ANY CONTENT MADE AVAILABLE THROUGH THEM WILL BE ACCURATE, COMPLETE, CURRENT, RELIABLE, SECURE, ERROR-FREE, UNINTERRUPTED, FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR SUITABLE FOR ANY PARTICULAR PURPOSE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY OR RELIABILITY, EXCEPT TO THE EXTENT THAT SUCH WARRANTY, CONDITION OR REPRESENTATION CANNOT LAWFULLY BE EXCLUDED.

WE DO NOT WARRANT OR GUARANTEE ANY PARTICULAR RESULT FROM USE OF THE SERVICES. IN PARTICULAR, WE DO NOT GUARANTEE THAT A JOB SEEKER WILL OBTAIN EMPLOYMENT, THAT AN EMPLOYER WILL FIND A SUITABLE CANDIDATE, THAT A JOB ADVERTISEMENT WILL RECEIVE ANY PARTICULAR NUMBER OF VIEWS OR APPLICATIONS, OR THAT INFORMATION PROVIDED BY ANOTHER USER IS ACCURATE OR GENUINE.

You acknowledge that your use of the Services and your reliance on information obtained through them is at your own risk, subject always to any rights and protections that cannot lawfully be excluded.

25. Third-Party Users and Disputes

You acknowledge that eLawCareers is a venue through which independent employers, recruiters, candidates and other users may interact.

We do not control the conduct of users and cannot guarantee the identity, intentions, qualifications, financial position, employment practices or other characteristics of any user.

If you have a dispute with another user, you acknowledge that you are responsible for resolving that dispute with the relevant user.

To the maximum extent permitted by applicable law, you release eLawCareers and its directors, officers, employees, contractors, agents, affiliates and service providers from claims arising solely out of disputes between you and another user of the Services.

This provision does not exclude or restrict any liability of eLawCareers that cannot lawfully be excluded or restricted.

26. Indemnification

You agree to indemnify and hold harmless eLawCareers, its directors, officers, employees, contractors, agents, affiliates and service providers, on a full indemnity basis, from and against all claims, proceedings, liabilities, losses, damages, penalties, costs and reasonable professional and legal fees arising out of or in connection with: your breach of these Terms; your misuse of the Services; Your Content; your job advertisements; your recruitment practices; your violation of applicable law; your infringement of a third party's rights; your fraud or wilful misconduct; or your processing or misuse of personal data.

This includes claims arising from your violation of employment, equality, immigration, advertising, intellectual property, confidentiality or data protection laws.

Where you use the Services for business or commercial purposes, this indemnity applies to the fullest extent permitted by applicable law. Where you are a consumer, this indemnity applies only to the extent that the relevant liability may lawfully be transferred to a consumer, and nothing in this section requires a consumer to indemnify eLawCareers for any liability that cannot lawfully be so transferred.

You must provide reasonable cooperation in the defence of any claim covered by this indemnity. We may, at our own expense, elect to assume the exclusive defence and control of any matter otherwise subject to this indemnity, in which case you agree to cooperate with our defence of that claim, and you must not settle any such claim without our prior written consent.

This indemnity is without prejudice to, and in addition to, any right we have to seek injunctive or other equitable relief under Section 11.

27. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

If you are a consumer, nothing in these Terms affects your statutory rights or remedies. In particular, nothing in these Terms is intended to exclude or restrict rights that cannot lawfully be excluded or restricted under applicable consumer protection legislation. Under the Consumer Rights Act 2015, consumer terms must satisfy statutory fairness requirements and certain liabilities cannot be excluded or restricted. Subject to the foregoing and without prejudice to any right or remedy that cannot lawfully be limited, our total liability to you as a consumer for direct loss arising out of or in connection with the Services shall not exceed £100, or, if greater, the total amount you have paid us in the twelve months preceding the event giving rise to the claim.

If you use the Services in the course of a business or profession, then to the maximum extent permitted by applicable law, eLawCareers shall not be liable for any indirect, consequential, incidental, special or punitive loss or damage, or for loss of profits, revenue, business, contracts, anticipated savings, goodwill, reputation, opportunity, anticipated employment, data or business interruption, arising out of or in connection with the Services or these Terms.

To the maximum extent permitted by applicable law, we shall not be liable for any loss arising from the conduct, representations, omissions or decisions of another user, including an employer, recruiter or candidate, or from any employment, recruitment or other relationship between users.

To the maximum extent permitted by applicable law, our total aggregate liability to a business user arising out of or in connection with these Terms, the Services or any paid service, whether in contract, tort, negligence, breach of statutory duty or otherwise, shall not exceed the greater of £100 or the total amount actually paid by that business user to eLawCareers for the relevant Services during the twelve months immediately preceding the event giving rise to the claim.

Where you have not paid us any amount, our aggregate liability to you as a business user shall, to the maximum extent permitted by law, be limited to £100.

Nothing in this section prevents a business user from recovering amounts which applicable law expressly requires to remain recoverable.

28. Events Beyond Our Reasonable Control

We shall not be liable for any failure, delay, interruption or degradation of the Services caused by circumstances beyond our reasonable control, including acts of God, natural disasters, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, industrial disputes, government action, changes in law, failures of telecommunications or internet infrastructure, cyberattacks, power failures, failures of hosting or cloud infrastructure, failures of third-party suppliers, or other circumstances which we could not reasonably have prevented or overcome.

Nothing in this section limits any right or remedy that cannot lawfully be limited.

29. Export Control and Sanctions

You represent and warrant that you are not, and are not owned or controlled by, a person or entity that is: (a) located in, or a national or resident of, any country or territory that is the subject of a comprehensive trade embargo under UK, EU, or US law; or (b) identified on any restricted party, denied person, or sanctions list maintained by the UK, EU, US, or the United Nations.

You agree not to use the Services in violation of any applicable export control, trade sanctions, or anti-money-laundering law, and we may suspend or terminate your access to the Services where we reasonably believe that this Section 30 has been breached.

30. Suspension and Termination

We may suspend, restrict or terminate your account or access to all or any part of the Services at any time where we reasonably believe that you have breached these Terms, provided materially false or misleading information, engaged in fraudulent or unlawful activity, created a security risk, abused another user, attempted to circumvent a restriction, failed to pay amounts properly due, or otherwise used the Services in a manner that may expose us, our users or third parties to harm or liability.

We may also suspend or terminate Services where required to comply with law or where continued provision of the relevant Service is no longer commercially, technically or legally practicable.

Where immediate action is reasonably necessary to protect the Services, users or third parties, suspension or removal may occur without prior notice.

Where applicable law requires notice, reasons, appeal rights or other procedural safeguards, those requirements will apply.

You may stop using the Services at any time. You may request deletion of your account by contacting info@elawcareers.com, subject to our legal and regulatory obligations to retain certain information.

Termination does not affect any rights or obligations which accrued before termination or any provision which by its nature is intended to survive termination.

31. Dormant Accounts and Retention

We may designate an Account as dormant where it has had no Activity for a prolonged period, and may delete, deactivate, or anonymise dormant Accounts in accordance with our retention policies and applicable data protection law, including the storage limitation principle under the UK GDPR and, where applicable, the EU GDPR.

Unless we notify you of a different period, we treat an Account as dormant where it has had no Activity for 12 months. “Activity” means any login, profile update, job application, job posting, or other action taken through the Account.

Where an Account is flagged as dormant, we will send a warning email to the address associated with it. If you do not log in within 30 days of that notice, the Account and all associated personal data will be permanently deleted or anonymised. You can prevent deletion at any time before that 30-day period closes simply by logging in. Once an Account has been deleted, we are unable to recover your data.

Deletion of an Account may result in the permanent deletion or anonymisation of associated information, subject to information that we are legally required or reasonably entitled to retain for security, fraud prevention, dispute resolution, legal claims, regulatory compliance, accounting, backup or other legitimate purposes.

32. Geographic Availability and Compliance with Local Laws

The Services may be accessible from jurisdictions outside the United Kingdom. We do not represent that the Services or all content and functionality made available through them are appropriate or available for use in every jurisdiction.

If you access the Services from outside the United Kingdom, you do so at your own initiative and are responsible for compliance with the laws applicable to you.

We reserve the right to restrict access to the Services, particular features, content or products in any jurisdiction where we reasonably consider that doing so is necessary for legal, regulatory, technical, operational or commercial reasons.

33. Consumer Rights

If you are a consumer, nothing in these Terms is intended to remove or restrict any mandatory rights or remedies available to you under applicable law.

In particular, nothing in these Terms excludes or restricts liability where such exclusion or restriction is prohibited by the Consumer Rights Act 2015 or other applicable legislation.

Where a provision of these Terms would be unenforceable against a consumer but would otherwise be enforceable, that provision shall apply to the maximum extent permitted by law.

34. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales, except to the extent that mandatory laws applicable to you provide otherwise.

Subject to any mandatory rights available to consumers or other users under applicable law, the courts of England and Wales shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms or the Services.

If you are a consumer ordinarily resident in another jurisdiction, you may also have mandatory rights to bring proceedings in the courts of your place of residence or to benefit from mandatory protections under the law of that jurisdiction. Nothing in this section is intended to deprive you of those rights.

35. Severability

If any provision of these Terms is determined by a court or other competent authority to be unlawful, invalid or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it lawful and enforceable where legally possible.

If the provision cannot lawfully be interpreted or modified, it shall be severed from these Terms and the remaining provisions shall continue in full force and effect.

36. No Waiver

Our failure or delay in exercising any right, power or remedy under these Terms shall not constitute a waiver of that right, power or remedy.

Any waiver must be expressly given and shall apply only to the particular circumstance for which it is given.

37. Assignment

You may not assign, transfer, sublicense or otherwise dispose of any rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by applicable law.

We may assign, transfer or novate our rights and obligations under these Terms to an affiliate, successor, purchaser of the Services or relevant business, or another entity in connection with a merger, reorganisation, sale of assets or similar transaction.

38. Entire Agreement

These Terms, together with the Privacy Policy and any other terms expressly incorporated into them and any applicable written commercial agreement, constitute the entire agreement between you and eLawCareers concerning your use of the Services and supersede previous agreements, representations and understandings relating to that subject matter, except to the extent that applicable law provides otherwise.

39. Third-Party Rights

Except where expressly stated otherwise, a person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms.

This does not affect any right or remedy that exists independently of that Act.

40. Relationship Between the Parties

Nothing in these Terms creates a partnership, joint venture, employment relationship, fiduciary relationship or agency relationship between you and eLawCareers.

You must not represent that you are authorised to act on behalf of eLawCareers unless we have expressly authorised you to do so in writing.

42. Language

These Terms are drawn up in English. Any translation we provide is for convenience only, and in the event of any conflict between the English version and a translation, the English version prevails.

43. Survival

Any provision of these Terms which by its nature is intended to survive termination shall survive termination, including provisions relating to intellectual property, user content, indemnification, disclaimers, limitations of liability, disputes, governing law, confidentiality, payment obligations and enforcement rights.
